1. ACCEPTANCE OF TERMS
By accessing or using UgaMall website, Progressive Web App (PWA), or our Android mobile application ("App") available on Google Play (collectively "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.
2. DEFINITIONS
- "UgaMall," "we," "us," or "our" refers to the UgaMall platform and its operators
- "User," "you," or "your" refers to any person who accesses or uses the Service
- "Service" refers to our website, Progressive Web App (PWA), and Android mobile application ("App")
- "App" refers to the UgaMall Android mobile application available on Google Play
- "Content" refers to any information, text, images, videos, or other materials posted on the Service
- "Listing" refers to a product or service advertisement posted on the Service
- "Store" refers to a seller's storefront on the Service
- "Account" refers to your registered user account on the Service
3. ELIGIBILITY
3.1 Age Requirement
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.
3.2 Account Registration
- You must provide accurate, current, and complete information during registration
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- You may not create multiple accounts or share your account with others
4. USER ACCOUNTS
4.1 Account Responsibilities
- You are solely responsible for maintaining the security of your account
- You must not share your password or allow others to access your account
- You must provide accurate contact information and keep it updated
- You are responsible for all content posted under your account
4.2 Account Suspension and Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent, illegal, or harmful activity
- Spam or abuse of the Service
- Posting prohibited content
- Any other reason we deem necessary to protect the Service and its users
5. ACCEPTABLE USE
5.1 Permitted Uses
You may use the Service to:
- Create and manage your store
- Post listings for products and services
- Browse and search for products and services
- Communicate with other users through our messaging system
- Install and use our Progressive Web App (PWA)
- Download and use the UgaMall Android app from Google Play
5.2 Prohibited Activities
You agree NOT to:
- Post false, misleading, or fraudulent information
- Post spam, duplicate, or low-quality listings
- Post illegal, harmful, or offensive content
- Harass, threaten, or abuse other users
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Use automated systems to access the Service without permission
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Collect user information without consent
- Use the Service for any commercial purpose not related to buying or selling
- Impersonate any person or entity
- Post content that violates privacy rights
- Reverse engineer, decompile, disassemble, or modify the Android app
- Attempt to circumvent app security measures or restrictions
- Use the Android app in a way that violates Google Play policies
- Distribute or share the Android app outside of Google Play
6. CONTENT GUIDELINES
6.1 Listing Requirements
All listings must:
- Be accurate and truthful
- Include clear, high-quality images
- Have complete and detailed descriptions
- Be placed in the appropriate category
- Comply with all applicable laws
- Not contain prohibited items or services
6.2 Prohibited Content
You may not post listings for:
- Illegal items or services
- Counterfeit or pirated goods
- Weapons, firearms, or ammunition (unless legally permitted)
- Drugs, controlled substances, or paraphernalia
- Adult content or services
- Items that infringe on intellectual property rights
- Stolen goods
- Items that violate local laws or regulations
6.3 Content Moderation
- All listings are subject to review and moderation
- We reserve the right to reject, remove, or edit any content
- We may flag content for review based on reports or automated systems
- Repeated violations may result in account suspension or termination
7. STORES AND LISTINGS
7.1 Store Management
- You may create and manage one or more stores
- You are responsible for all content in your stores
- Store information must be accurate and up-to-date
- You may invite other users to manage your store (store managers)
- Store managers can add and edit listings but cannot modify store settings
7.2 Listing Management
- You are responsible for the accuracy of your listings
- You must update listings when items are sold or no longer available
- You must respond to inquiries in a timely manner
- You may not post duplicate listings
- You must use appropriate categories and tags
7.3 Pricing and Transactions
- All prices must be clearly stated
- You are responsible for setting fair and accurate prices
- Transactions between buyers and sellers are your responsibility
- We are not a party to transactions between users
- We do not guarantee the quality, safety, or legality of items listed
8. MESSAGING AND COMMUNICATION
8.1 Internal Messaging
- Our messaging system is for legitimate business communication only
- You may not use messaging for spam, harassment, or illegal activities
- We reserve the right to monitor messages for security and compliance
- Messages may be reviewed in case of reports or disputes
8.2 Communication Standards
- Be respectful and professional in all communications
- Do not share personal contact information until you are comfortable
- Report any suspicious or inappropriate messages
- Do not use messaging to circumvent our policies
9. PAYMENTS AND WALLET
9.1 Wallet Service
- We may offer a wallet service for certain transactions
- Wallet funds are subject to our terms and conditions
- We reserve the right to suspend or freeze wallet accounts for security reasons

13. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid us (if any) in the past 12 months
- We are not liable for transactions between users
- We are not liable for lost profits, data loss, or business interruption
14. INDEMNIFICATION
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of others
- Content you post on the Service
15. DISPUTE RESOLUTION
15.1 User Disputes
- Disputes between users should be resolved directly between the parties
- We may assist in dispute resolution but are not obligated to do so
- We are not responsible for resolving disputes between users
15.2 Disputes with UgaMall
- Any disputes with us will be resolved through good faith negotiation
- If negotiation fails, disputes will be resolved through binding arbitration in Uganda
- You waive your right to a jury trial
16. REPORTING AND MODERATION
16.1 Reporting Violations
- You may report violations of these Terms through our reporting system
- Reports are reviewed by our moderation team
- We take appropriate action based on the severity of violations
16.2 Moderation Actions
- We may remove content, suspend accounts, or take other actions as necessary
- Moderation decisions are at our sole discretion
- We are not required to provide explanations for moderation actions
17. TERMINATION
17.1 Termination by You
- You may terminate your account at any time
- You must remove all your content before termination
- Some information may be retained as required by law
17.2 Termination by Us
- We may terminate your account for violation of these Terms
- We may terminate the Service at any time
- Upon termination, your right to use the Service ceases immediately

- Sending email notifications (if you have an account)
- In the Android app, we may show a notice or prompt you to review the updated Terms
Your continued use of the Service (including the Android app) after changes constitutes acceptance of the modified Terms.
19. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of Uganda. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Uganda.
20. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
21. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and UgaMall regarding the Service.
22. ANDROID APP AND GOOGLE PLAY
22.1 App Permissions and Access
When you use the Android app, you may be required to grant certain permissions (such as camera, storage, or location access). You can manage these permissions through your device settings. By using the app, you consent to the app accessing the features you have permitted.
22.2 App Store Rules
The Android app is distributed through Google Play and is subject to Google Play's terms of service and policies. You agree to comply with all Google Play policies, including but not limited to:
- Content policies
- Developer policies
- User data policies
- Payment policies (if applicable)
22.3 App Updates
We may release app updates that may be required for continued use of the Service. You agree to install such updates when prompted.
22.4 Device Compatibility
The Android app is designed for Android devices. We do not guarantee compatibility with all Android versions or device configurations.
